Terms of Use

1. Acceptance of the Terms

Selly is operated by Selly ("Selly", "we", "us" or "our"). By creating an account, posting a listing, or otherwise accessing or using the Selly website and applications (the "Services"), you agree to be bound by these Terms of Use (the "Terms").

If you do not agree with these Terms, you must not use the Services. These Terms incorporate by reference our Privacy Policy, Posting Rules, and any other policies we publish on the platform.

If you use the Services on behalf of a company or other legal entity, you represent that you have authority to bind that entity, and "you" refers to that entity.

2. Key Definitions

In these Terms, the following terms have the meanings set out below:

• "User" — any person who accesses or uses the Services, whether registered or not, including buyers and sellers.
• "Listing" — an advertisement posted by a User offering goods or services, pinned to a geographic location on the map.
• "Content" — any text, photographs, prices, location data, messages, reviews, or other material submitted, uploaded, or displayed through the Services.
• "Services" — the Selly website, mobile and web applications, map browsing, in-app chat, AI assistant, and all related features.
• "Promotion" — any paid feature that increases the visibility, ranking, or reach of a Listing.

3. Eligibility and Account Registration

To register an account and post Listings you must be at least 18 years old, or have the legal capacity to enter into a binding contract under the law of your country of residence.

• You must provide accurate, current, and complete information when registering and keep it up to date.
• One person may hold only one account. Creating multiple accounts to evade limits, bans, or detection is prohibited.
• You are responsible for keeping your login credentials confidential and for all activity that occurs under your account.
• You must notify us promptly at [email protected] if you suspect any unauthorised use of your account.

We may refuse registration, or suspend or close an account, where information is inaccurate or where we reasonably believe these Terms have been breached.

4. Using the Services and Acceptable Use

We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Services for their intended purpose — browsing, posting, and communicating about Listings — in accordance with these Terms.

When using the Services you agree not to:

• Use the Services for any unlawful, fraudulent, or deceptive purpose;
• Scrape, harvest, or copy Listings or other data by automated means without our prior written consent;
• Interfere with, overload, or disrupt the Services or any servers or networks connected to them;
• Circumvent security features, rate limits, or access controls;
• Impersonate any person or misrepresent your affiliation with any person or entity;
• Send spam, chain messages, or unsolicited commercial communications through the in-app chat.

5. Posting Listings

You are solely responsible for the Listings you post, including their accuracy, legality, and completeness. By posting a Listing you represent and warrant that:

• The information, photographs, price, and location are accurate and not misleading;
• You own the item or are otherwise legally entitled to sell or offer it;
• The item and the sale comply with all applicable laws, including consumer-protection and import/export rules;
• The Listing does not infringe any third party's intellectual-property or other rights.

Each Listing must describe a single item or service. Posting the same item multiple times, or bundling unrelated items into one Listing, is not permitted. We may edit the category or location of a Listing, or remove it, where it does not comply with these Terms or our Posting Rules.

6. User Content and Licence to Selly

You retain all ownership rights in the Content you submit. We do not claim ownership of your Listings, photographs, or messages.

To operate the Services, you grant Selly a worldwide, non-exclusive, royalty-free, transferable and sub-licensable licence to host, store, reproduce, adapt (for formatting and resizing), publish, and display your Content for the purpose of providing and promoting the Services.

This licence lasts for as long as your Content is on the platform and for a reasonable period afterwards for backup and legal-compliance purposes. You are responsible for ensuring you have all rights necessary to grant this licence.

7. Prohibited Content and Conduct

You must not post Content or engage in conduct that is illegal, harmful, or otherwise prohibited. This includes, without limitation, weapons, drugs, counterfeit goods, stolen property, adult services, and any item whose sale is restricted by law.

A full and binding list of prohibited items and conduct is set out in our separate Posting Rules, which form part of these Terms. We may remove any Content that breaches those rules and take action against the responsible account.

8. Transactions Between Users

Selly is a venue that connects buyers and sellers. We are not a party to any agreement, sale, or transaction between Users, we do not own, inspect, or take possession of any item, and we do not act as agent for any User.

Unless we expressly state otherwise for a specific feature, we do not provide escrow, payment processing for items, delivery, or any guarantee that a transaction will be completed, that an item matches its description, or that a User is who they claim to be.

You deal with other Users at your own risk. We strongly encourage you to verify items in person where possible, meet in safe public places, and heed the warnings of our in-app AI assistant about likely fraud or scam messages. The assistant provides automated guidance only and may not detect every risk.

9. Paid Promotion and Fees

Posting a basic Listing is free unless stated otherwise. We offer optional paid Promotion features that increase the visibility or reach of a Listing.

• The price and scope of every paid feature are shown before you confirm the purchase — in the currency set for the Listing's country (₴ for Ukraine; other countries get the default price, normally in US dollars);
• Payments are processed by our payment provider (Monobank acquiring); you authorise the corresponding charge at the moment of purchase;
• Promotion takes effect once the payment is confirmed and runs for the period stated for that feature;
• Buying a Promotion for a Listing that is already promoted extends the current period by the purchased plan's duration.

Paid Promotion increases visibility only. It does not guarantee views, enquiries or a sale. The service is considered delivered upon activation: cancelling a Promotion stops the boost, and the fee for the remaining period is not refunded. Until an issued invoice is paid, the purchase carries no obligation — an unpaid invoice is voided automatically. A refund is available where the service was not delivered through our fault, and in cases where a refund is required by applicable consumer-protection law.

10. Intellectual Property of Selly

The Services, including the Selly name and logo, software, source code, design, user interface, map presentation, databases, and all related intellectual-property rights, are owned by or licensed to Selly and are protected by law.

Except for the limited licence to use the Services granted in these Terms, nothing gives you any right to our trademarks, branding, or software. You must not copy, modify, reverse-engineer, or create derivative works from the Services except as permitted by law.

11. Third-Party Links and Services

The Services rely on and may link to third-party services, such as map providers, payment processors, and analytics tools. They may also contain links posted by Users to external websites.

We do not control and are not responsible for the content, policies, or practices of any third party. Your use of third-party services is subject to their own terms and privacy policies, and you access them at your own risk.

12. Disclaimers

The Services are provided "as is" and "as available", without warranties of any kind, whether express or implied, to the maximum extent permitted by law.

We do not warrant that the Services will be uninterrupted, error-free, or secure, or that defects will be corrected. We make no warranty about the accuracy, quality, legality, or safety of any Listing, item, or User, or about the conduct of any User.

Nothing in these Terms excludes or limits any rights you have as a consumer that cannot be excluded or limited under Ukrainian or EU law.

13. Limitation of Liability

To the maximum extent permitted by law, Selly and its directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, goodwill, data, or business opportunity arising out of or relating to your use of the Services or any transaction with another User.

To the extent we are liable, our total aggregate liability to you for all claims relating to the Services is limited to the greater of the amount you paid us for Promotion in the twelve months before the event giving rise to the claim, or €100.

These limitations do not apply to liability that cannot be excluded by law, including liability for death or personal injury caused by negligence, fraud, or gross misconduct, or to your statutory consumer rights.

14. Indemnification

You agree to indemnify and hold harmless Selly and its officers, employees, and agents from and against any claims, liabilities, damages, losses, and reasonable expenses (including legal fees) arising out of or connected with:

• Your breach of these Terms or our Posting Rules;
• Your Content or Listings, or any transaction you enter into with another User;
• Your violation of any law or of the rights of any third party.

This obligation does not apply to the extent a claim arises from our own breach of these Terms or applicable law.

15. Suspension and Termination

You may stop using the Services and close your account at any time through your account settings or by contacting [email protected].

We may suspend or terminate your access to the Services, remove Listings, or close your account, with or without notice, if we reasonably believe that you have breached these Terms or our Posting Rules, created risk or legal exposure for us, or engaged in fraudulent or harmful conduct.

On termination, the licences you grant us survive only as needed for backup and legal compliance, and provisions that by their nature should survive — including those on liability, indemnity, and governing law — will remain in effect.

16. Changes to These Terms

We may update these Terms from time to time to reflect changes in our Services, the law, or our business practices. When we make material changes, we will post the updated Terms with a new "Last updated" date and, where appropriate, notify you within the app or by email.

Your continued use of the Services after the changes take effect constitutes acceptance of the revised Terms. If you do not agree, you should stop using the Services and may close your account.

17. Governing Law and Dispute Resolution

These Terms are governed by the laws of Ukraine, without regard to conflict-of-law principles. Disputes that cannot be resolved informally will be subject to the jurisdiction of the competent courts of Ukraine.

If you are a consumer resident in the European Union, you benefit from the mandatory consumer-protection provisions of the law of your country of residence, and nothing in this section deprives you of that protection or of the right to bring proceedings in your local courts where the law so provides.
